| Initial public offering of 56,99,200 equity shares of face value of (Rs) 10/- each ("Equity Shares") of Veefin Solutions Limited ("Veefin" or "The Company" or "The Issuer") for cash at a price of (Rs) 82/- per equity share (including a premium of (Rs) 72/- per equity share) ("Offer Price") aggregating to (Rs) 46.73 crores comprising of fresh offer of 28,49,600 equity shares aggregating to (Rs) 23.37 crores ("Fresh Offer") and an offer for sale of 28,49,600 equity shares by Raja Debnath, Gautam Vijay Udani and Ajay Babu Rajendran ("Selling Shareholders") aggregating to (Rs) 23.36 crores ("Offer for Sale") ("The Offer") of which 2,88,000 equity shares aggregating to (Rs) 2.36 crores will be reserved for subscription by market maker ("market Maker Reservation Portion"). The offer less the market maker reservation portion i.e. offer of 54,11,200 equity shares of face value of (Rs) 10/- eachat an offer price of (Rs) 82/- per equity share aggregating to (Rs) 44.37 croress ("Net Offer"). The offer and the net offer will constitute 26.90% and 25.54% of the post-offer paid-up equity share capital of the company.
