| Public offer of 13,50,000 equity shares of face value of (Rs)10 each ("equity shares") of Sungold Media & Entertainment Limited (the "company") for cash at a price of (Rs)10/- per equity share (the "offer price"), aggregating to (Rs)1.35 Crores ("the offer") through an offer for sale comprising of 13,50,000 equity shares by Mr. Rajiv Rameshchandra Kotia, of which 70,000 equity shares of face value of (Rs)10 each for cash at a price of (Rs)10/- per equity share, aggregating to (Rs) 0.07 Crores will be reserved for subscription by the market maker to the offer (the "market maker reservation portion"). The offer less market maker reservation portion i.e. Offer of 12,80,000 equity shares of face value of (Rs)10 each for cash at a price of (Rs)10/- per equity share, aggregating to (Rs)1.28 Crores is hereinafter referred to as the "net offer". The offer and the net offer will constitute 27.00% and 25.60% respectively of the fully diluted post offer paid up equity share capital of the company.
